1. General Terms
– OEM Definition: GreenFiber provides OEM services for loofah-based bath and skincare products. Clients can customize branding, packaging, and product specifications as per agreement.
– Product Customization: Customization includes branding (logo, label, packaging), size, shape, and material composition, subject to feasibility and MOQ.
– Exclusivity: Exclusive product designs or formulas require a separate exclusivity agreement and may involve additional fees.
2. Ordering & Production
– Minimum Order Quantity: MOQ varies by product type. Specific details will be agreed upon before contract signing.
– Lead Time: Standard production time is about 10 days after Green Fiber confirms the order and receives the deposit. For custom orders, the production time will be mutually agreed upon during the discussion process.
– Order Confirmation: Orders are confirmed once the contract is signed, payment terms are met and all product-related details are approved. This includes but is not limited to packaging, materials, colors, dimension, etc.
– Modifications & Cancellations: Any changes after confirmation may be subject to additional costs and delays. Cancellations after production starts are non-refundable.
3. Pricing & Payment Terms
– Pricing Structure: Prices depend on order quantity, customization level, and raw material costs. Bulk discounts may be available.
– Payment Terms:
+Deposit: A 50% deposit is required to start production.
+ Final Payment: The remaining 50% must be paid before shipment.
+ Other payment structures can be negotiated based on long-term contracts.
– Currency: Payments are accepted in USD/VND via bank transfer or other agreed payment methods.
4.Packaging & Branding
Private Labeling: GreenFiber provides custom packaging and labeling services according to client requirements.
– Eco-Friendly Packaging: Clients can opt for biodegradable, plastic-free, or recyclable packaging aligned with GreenFiber’s sustainability values.
– Regulatory Compliance: Clients must ensure their private-label products comply with their country’s regulations. GreenFiber can provide ingredient lists and material certifications upon request.
5.Quality Assurance & Warranty
Product Quality: All products undergo strict quality control (QC) checks before shipment. Detailed information about the QC process will be specified in the contract and discussed during the order negotiation.
Defective Products:
+ If any defects are found, clients must notify GreenFiber within 7 days of receiving goods.
+ Compensation or replacement is subject to investigation and agreement.
+ In cases where the product has defects due to manufacturing errors, Green Fiber will take full responsibility for rectifying the issue, including product replacement and shipping costs.
Natural Variation: Since loofahs are natural products, variations in color, texture, and size may occur. These are not considered defects.
6. Shipping & Logistics
– Shipping Methods: GreenFiber offers FOB (Free on Board), CIF (Cost, Insurance, and Freight), or EXW (Ex-Works) terms. Clients can arrange their own shipping or use GreenFiber’s shipping partners.
– Delivery Time: Estimated shipping time will be provided before finalizing the order. Delays due to customs clearance or force majeure are beyond GreenFiber’s control.
– Customs & Duties: Clients are responsible for any import duties, taxes, or regulatory fees in their country.
7. Intellectual Property & Confidentiality
– Brand Protection: Any private-label branding remains the intellectual property of the client.
– Formula & Design Rights: If GreenFiber develops a custom formula or design, ownership must be specified in the contract.
– Confidentiality: Both parties agree to keep business information confidential and not disclose it to third parties.
8. Termination & Dispute Resolution
– Contract Termination: Either party may terminate the contract with a written notice of 10 days, subject to agreed penalties.
– Dispute Resolution: Any disputes will be resolved through negotiation first, and if necessary, arbitration in Vietnam or another agreed jurisdiction.

Distribution Scope: Distributors can sell products through retail stores, e-commerce platforms, or wholesale networks within the agreed territory.
– Exclusive Distribution Rights:
+ If the distributor seeks territorial exclusivity, a minimum monthly/quarterly sales commitment is required.
+ Without an exclusivity agreement, GreenFiber retains the right to supply products to other partners in the same region.
2.Distributor Requirements
– Minimum Order Quantity (MOQ):
+ Distributors must meet a minimum order quantity (MOQ) to qualify for wholesale pricing.
+ The first order typically requires a higher MOQ than subsequent orders.
– Partnership Conditions:
+ Distributors must have a clear sales channel (physical store, website, e-commerce platform, etc.).
+ Commitment to maintaining stable pricing without engaging in price dumping.
+ Ensuring high-quality customer service in line with GreenFiber’s standards.
3.Pricing & Discount Policy
– Wholesale Pricing:
+ Distributors receive wholesale pricing based on order volume.
+ Prices may be subject to adjustments due to raw material costs, labor, and market conditions, with a minimum 30-day notice.
– Discounts & Support:
+ Distributors may qualify for sales-based discounts depending on their purchasing volume.
+ Support includes marketing materials, product training, and promotional content from GreenFiber.
4.Ordering & Payment Terms
– Ordering Process:
+ Orders must be confirmed in writing or via the official ordering system.
+ Order cancellations after confirmation may result in a penalty of 8% of the order value, except in special cases that have been pre-negotiated.
– Payment Methods:
+ Orders must be fully paid before shipment, unless a credit agreement is in place.
+ Long-term partners may qualify for a maximum credit term of 30 days, subject to contract terms.
+ Payments are accepted via bank transfer (VND/USD) or other agreed payment methods.
5.Shipping & Delivery
– Shipping Methods:
+ GreenFiber offers shipping under FOB, CIF, or EXW terms.
+ Distributors may arrange their own shipping or use GreenFiber’s logistics partners.
– Shipping Costs:
+ Orders above 200 million VND may qualify for free shipping as per GreenFiber’s policy (Applicable only in the Vietnam market). Policy details will be clearly stated in the contract and discussed during the negotiation process.
+ If goods are damaged during shipping due to GreenFiber’s fault, GreenFiber will take responsibility for compensation.
– Delivery Time:
+ Standard delivery time is 5 business days for ODM orders and 10 business days for OEM orders after payment confirmation.
+ In force majeure cases (natural disasters, pandemics, etc.), the delivery time may be extended. In such cases, both parties will agree on a resolution in writing or through other mutually suitable methods.
6.Return & Warranty Policy
– Return Policy:
+ Only defective products due to manufacturing or shipping damages are eligible for returns.
+ Distributors must notify GreenFiber within 7 days of receiving the shipment for a return request.
– Products Not Eligible for Return:
+ Used products or items with damaged packaging.
+ Products damaged due to improper storage by the distributor.
+ Products that have expired due to excessive stock accumulation without timely sales.
– Warranty Policy:
+ Loofah products are natural and do not have a fixed expiration date, but GreenFiber guarantees product quality for 24 months from the manufacturing date.
+ Distributors must store products properly to prevent mold or degradation.
7.Distributor Responsibilities
– Price Consistency: Commitment to not engaging in price dumping that disrupts the market.
– Product Promotion:
+ Support product marketing and promotion based on GreenFiber’s guidelines.
+ Avoid misleading advertising or misrepresentation of GreenFiber’s products.
– Customer Service:
+ Ensure customer service follows Green Fiber’s standard regulations and provide accurate product consultation.
+ In case of customer complaints, the distributor must inform GreenFiber to coordinate solutions.
8.Contract Termination & Dispute Resolution
– Termination Conditions:
+ Repeated contract violations by the distributor have resulted in a warning from Green Fiber.
+ Failure to meet the minimum sales commitment for 6 consecutive months, if applicable.
+ Engaging in actions that damage GreenFiber’s brand reputation and market.
– Handling Inventory After Termination:
+ If the contract is terminated, the distributor may sell off remaining stock within 3 months before ceasing to use the GreenFiber brand.
+ The distributor is prohibited from selling counterfeit or substandard products under the GreenFiber name.
– Dispute Resolution:
+ Disputes will be resolved through negotiation first.
+ If no agreement is reached, disputes will be settled through arbitration in Vietnam or another mutually agreed jurisdiction.
